1. Scope and Acceptance
These Terms of Service ("Terms") govern your access to and use of Pounce, a B2B company intelligence API operated by Gugger Digital Services, Holzmoosrütisteig 1b, 8820 Wädenswil, Switzerland ("we", "us", "Pounce"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. You must be at least 18 years old and authorized to enter into binding agreements. We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
2. Service Description
Pounce is a B2B company intelligence API that indexes, verifies, and enriches publicly available company data from official trade registers and public websites across 19 countries. The Service includes: (a) Company profiles derived from public trade register data, (b) REST API access for searching, enriching, and exporting company data, (c) MCP Server for AI agent integrations, (d) Python and TypeScript SDKs, (e) Browse functionality for exploring company data. Company data is sourced from official government trade registers (e.g. Zefix, Companies House, SIRENE, Brreg, KBO, CVR, PRH, Äriregister), publicly accessible websites, and licensed open data sources (e.g. GLEIF). Data is provided for informational purposes and does not constitute legal, financial, or business advice.
3. Account Registration
To access the Service, you must create an account with a valid email address and password. You are responsible for: (a) providing accurate and complete registration information, (b) maintaining the security of your account credentials, (c) all activities that occur under your account. You must notify us immediately at hello@pounce.ch if you suspect unauthorized access. One account per person is permitted. Account sharing or credential sharing is prohibited. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscriptions and Payments
Pounce offers API subscription plans at various tiers (Free, Developer, Business, Enterprise). Prices are displayed in USD and do not include applicable taxes. Subscriptions are billed in advance on a monthly basis through our payment processor, Stripe, Inc. By subscribing, you authorize recurring charges until you cancel. Automatic renewal applies unless cancelled before the end of the current billing period. No credit card is required for the Free plan. We reserve the right to adjust prices with at least 30 days prior written notice. Price changes take effect at the start of the next billing period.
5. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us at hello@pounce.ch. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period ends. We offer a 14-day money-back guarantee for new paid subscriptions. Refund requests must be submitted within 14 days of the initial payment. After this period, no refunds are provided for partial billing periods. Enterprise agreements may have separate terms.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose or in violation of applicable laws, including but not limited to the Swiss Federal Act against Unfair Competition (UWG), the Swiss Data Protection Act (nDSG), and the EU General Data Protection Regulation (GDPR), (b) attempt to gain unauthorized access to any part of the Service, its systems, or networks, (c) use automated tools, bots, or scripts to access the Service beyond permitted API limits, (d) reverse engineer, decompile, or disassemble any part of the Service, (e) resell, redistribute, or sublicense data obtained through the Service without written consent, (f) use the Service or data obtained through it to send unsolicited commercial messages (spam) or mass marketing communications without prior consent of the recipients as required by UWG Art. 3 para. 1 lit. o, (g) use the Service or data obtained through it for unsolicited telephone advertising, including but not limited to: calling numbers marked with an opt-out notation ("Stern-Eintrag") in Swiss directories, calling persons not listed in directories, or making advertising calls without displaying a valid caller ID, as prohibited by UWG Art. 3 para. 1 lit. u, (h) upload or transmit malicious code, (i) impersonate any person or entity, (j) interfere with or disrupt the integrity or performance of the Service. Permitted use: Data obtained through Pounce may be used for CRM management, market research, business intelligence, and legitimate B2B outreach in compliance with applicable laws. You must obtain appropriate consent before using contact data for direct marketing. Violation of these rules may result in immediate suspension or termination of your account without refund.
7. API and Developer Access
API access is available separately via API plans (Developer, Business, Enterprise). API usage is subject to rate limits as specified in our developer documentation at pounce.ch/api. You may use the API to integrate Pounce data into your own applications and workflows. You may not: (a) exceed documented rate limits, (b) cache or store Pounce data beyond 24 hours without a valid subscription, (c) use the API to build a competing service, (d) share API keys with third parties. We provide SDKs (Python, Node.js) and an MCP server for AI agent integrations. These tools are provided under the MIT license where applicable. We reserve the right to modify or discontinue API features with reasonable notice. Compliance obligations: By using the API, you agree that you are solely responsible for ensuring that your use of data obtained through the API complies with all applicable laws, including data protection laws (nDSG, GDPR) and unfair competition laws (UWG). You must not use API data for unsolicited bulk communications, cold-calling campaigns without proper consent, or any purpose that violates the rights of the persons or organizations whose data is included. Abuse monitoring: We monitor API usage patterns for signs of abuse (including excessive contact data harvesting, bulk export of personal data, and patterns indicative of spam campaigns). Accounts found to be in violation will be suspended immediately and may be permanently terminated.
8. Public Company Data
Pounce processes publicly available company data from official government trade registers and public websites. This data includes: company names, legal forms, addresses, registration numbers, industry classifications, website content, and technology indicators. This data is public by law and its processing does not require individual consent. Company profiles on Pounce are generated automatically from these public sources. If you represent a company profiled on Pounce, you may claim your profile to verify and manage the information displayed. To request removal of a company profile, contact us at hello@pounce.ch with proof of authorization.
9. Intellectual Property
The Service, including its software, design, logos, documentation, and proprietary algorithms, is owned by Gugger Digital Services and protected by Swiss and international intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from any part of the Service. Content you submit (e.g., match profile descriptions) remains your property. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process it for the purpose of operating the Service.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure, (b) company data will be accurate, complete, or current, (c) matches or insights will lead to business outcomes, (d) the Service will meet your specific requirements. Company data is derived from public sources and may contain inaccuracies. We make reasonable efforts to maintain data quality but cannot guarantee accuracy.
11. Limitation of Liability
To the maximum extent permitted by Swiss law (Art. 100 OR), Gugger Digital Services shall not be liable for: (a) indirect, incidental, special, consequential, or punitive damages, (b) loss of profits, revenue, data, or business opportunities, (c) damages arising from reliance on data provided by the Service, (d) damages caused by circumstances beyond our reasonable control. Our total aggregate liability for any claims arising out of or related to these Terms shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim. Nothing in these Terms excludes liability for intentional misconduct or gross negligence (Art. 100 para. 1 OR).
12. Indemnification
You agree to indemnify and hold harmless Gugger Digital Services, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, (d) content you submit through the Service.
13. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination: (a) your right to use the Service ceases, (b) you may request a data export within 30 days, (c) we will delete your personal data in accordance with our Privacy Policy, (d) provisions that by their nature should survive (including Sections 9-12) will remain in effect.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of laws provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland. For consumers domiciled in the EU/EEA, mandatory consumer protection provisions of their country of residence may apply.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the original intent.
